Acceptance of Terms

By accessing or using Data#3's customer-facing applications, APIs, and digital platforms, including D3 Commerce and Lifecycle 360 (collectively referred to as the "Service"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, please do not use the Service.

Changes to Terms

We may change the Terms of Service from time to time. Any updated versions of the Terms of Service will be posted on our website. Please review it regularly. You will be deemed to have consented to such variations by your continued use of Data#3’s products and services following such changes being made.

Use of the Service

User Accounts: You will be required to create a user account to access certain features of the Service. Users may be required to provide Data#3 with certain information, such as full name, email address, or other contact information. You are responsible for keeping your account information confidential and for any activity that occurs under your account. If the user is no longer an employee it is the responsibility of the Customer to promptly remove the user from their tenancy to ensure access is denied to the Service. You are solely responsible for maintaining the confidentiality of your account and password, and are responsibility for all activities that occur under your account.

APIs: Data#3 reserves the right to place limits on access to the APIs (e.g., limits on numbers of calls or requests). Further, Data#3 may monitor Customer's usage of such APIs and limit the number of calls or requests Customer may make if Data#3 believes that Customer's usage is in breach of this Agreement or may negatively affect the security, operability, or integrity of the Services .

API Keys: You will be responsible for generating the API key and ensuring its proper handling. It will be required that all Permitted Users keep API keys, user ID and password information strictly confidential and not share such information with any unauthorised person.

Content: You may upload, submit, store, or share content on the Service. You retain ownership of your content, but by using the Service, you grant [Your Company Name] a non-exclusive, worldwide, royalty-free license to use, display, and reproduce your content for the purpose of providing the Service.

Information publicly posted or privately transmitted through the Services is the sole responsibility of the person from which the content originated and that Data#3 will not be liable for any errors or omissions in any content. Data#3 will also not be liable for any loss or damage of any kind incurred in connection with use of or exposure to any Content posted, emailed, accessed, transmitted, or otherwise made available via the Services.

Prohibited Uses: You agree not to use the Service for any unlawful or unauthorised purpose. This includes but is not limited to:

- Violating any applicable laws or regulations.

- Transmitting any viruses, malware, or any other code that may damage, interfere with, or intercept the Service.

- Reverse engineering, decompiling, or disassembling the Service.

harmful, fraudulent, deceptive, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable behaviour.

Third-Party Services

Data#3 may transfer information from and to the applicable third-party services in connection with providing the Service. Third-party services are not under Data#'s control. Data#3's Privacy Policy, available on our website outlines how we handle yoru data.

Privacy

Data#3 is committed to protecting your privacy. Data#'3s Privacy Policy, available on our website, and it explains how we collect, use, and disclose your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

Professional Services

Data#3 will not provide resources to perform integration services, resources to integrate will need to be provided by the customer.

Intellectual Property

The Service and its original content, features, and functionality are owned by Data#3 and are protected by copyright, trademark, and other intellectual property laws.

Any data loss that results from malicious action from customer actions is not Data#3's responsibility.

Termination

Data#3 reserves the right to terminate or suspend your access to the Service without notice, for any reason or no reason, at its sole discretion. You may also terminate your account at any time by discontinuing use of the Service.

Data#3 may disable or terminate access to the service for any account which has not been accessed in 12 months.

Service Availability

The Service is provided "as is" and "as available" without any warranties, either express or implied.

Availability: Data#3 will use commercially reasonable efforts to make each Service available with an uptime of 99% of each calendar month.

Scheduled Maintenance: Data#3 will notifies Customers at least twenty-four (24) hours in advance. Scheduled Maintenance will typically be performed outside business working hours.

Subscriptions

Subscription Service (for Paid Plan Levels): Data#3 may include automatically recurring payments for periodic charges (“Subscription Service”) to access some features of the Service. If you activate a Subscription Service, you authorise Data#3 to periodically charge, on a going-forward basis and until cancellation of either the recurring payments or the User's account, all accrued sums on or before the payment due date for the accrued sums. The “Subscription Billing Date” is the date when you first purchases a subscription to the Services. Your account will be charged automatically on the Subscription Billing Date all applicable fees and taxes for the next subscription period. The subscription will continue unless and until you cancel the subscription or Data#3 terminates it. You must cancel any subscription before it renews in order to avoid billing of the next periodic Subscription Fees to your account. Data#3 will bill the periodic Subscription Fees to the payment method you provide. You may cancel the Subscription Service at any time as set out in Subscription Term.

Termination of Subscription: You may terminate the subscription to the Service at any time upon written notice to Data#3. Such termination will be effective at the end of the then-current Subscription Term. For clarity, all Subscription Fees are nonrefundable, and you will not receive a refund of any prepaid Subscription Fees for the terminated subscription.

Limitation of Liability

Data#3 and its affiliates will not be liable for any direct, indirect, incidental, special, or consequential damages resulting from your use of the Service.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of [Your Jurisdiction].
